5. Loan Offers and Third-Party Lenders

5.1 Nature of Offers

Loan offers displayed in the App are provided by independent third-party lenders. Bapi does not verify the accuracy of all information provided by lenders in real time, and offer details (including rates, amounts, and approval likelihood) may change without notice. All figures displayed are estimates unless otherwise stated.

5.2 No Guarantee of Approval

Browsing offers on Bapi does not constitute a loan application and does not guarantee that you will be approved for any loan. Approval decisions are made solely by the lender based on their own criteria, which may include a credit check, income verification, or other factors.

When you tap a lender's offer and proceed to their website or application, you are entering into a direct relationship with that lender. Bapi has no control over and accepts no responsibility for:

The loan calculator available in the App provides estimated repayment figures based on the amounts, terms, and rates you enter. These calculations are approximations only and are intended to help you understand the potential cost of borrowing. Actual loan costs will depend on the specific terms offered by the lender and may differ from calculator outputs. Bapi makes no warranties regarding the accuracy of calculator results.

The Services are intended for use by residents of the United States, excluding residents of the state of New York. We make no representation that the Services are appropriate or available for use in any other location. If you access the Services from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

8. Intellectual Property

8.1 Bapi's Intellectual Property

The Services and all content, features, and functionality thereof — including but not limited to text, graphics, logos, icons, images, and software — are owned by Bapi Finance LLC or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works of any content from the Services without our prior written consent.

8.2 Feedback

If you submit feedback, suggestions, or ideas about the Services, you grant Bapi a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, and incorporate such feedback into our Services without any obligation to you.

9. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BAPI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BAPI FINANCE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

You agree to indemnify, defend, and hold harmless Bapi Finance LLC and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

12.1 Termination by You

You may terminate your account at any time by contacting us at support@bapifinance.com. Upon termination, your right to use the Services will immediately cease.

We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, without notice, for any reason, including but not limited to:

Upon termination, all licenses granted to you under these Terms will immediately terminate. Sections that by their nature should survive termination (including Sections 8, 9, 10, 11, 13, and 14) shall survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved through binding arbitration administered under the rules of the American Arbitration Association (AAA), rather than in court. You agree that any arbitration shall be conducted on an individual basis and not as a class action, class arbitration, or representative proceeding.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

You have the right to opt out of arbitration by contacting us at support@bapifinance.com within 30 days of first accepting these Terms.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bapi with respect to the Services and supersede all prior agreements, understandings, and representations.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will notify you by email or through a prominent notice in the App. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.
